– Go Happy Farms operates an online marketplace that enables users in Nigeria to buy and sell agricultural products, Animal Products, Sustainable Products, Agricultural Inputs, Organic and Specialty Products, Meat and Poultry, Dairy Products, Fresh Produce, Fresh eggs (regular and organic), and related goods and services (“Services”).

– We may offer additional features such as vendor storefronts, logistics facilitation, messaging, and promotional tools.

– Unless expressly stated otherwise, Go Happy Farms is not the buyer or seller of items listed by third-party vendors. Contracts for sale are formed directly between buyers and sellers.

– We do not guarantee the existence, quality, safety, legality, or fitness of items listed by third-party sellers, nor the truth or accuracy of sellers’ content or listings. However, we may, at our discretion, verify certain sellers or listings.

3. Listings, Product Information, and Availability

– Sellers are responsible for the accuracy, completeness, and legality of their listings, pricing, photos, and descriptions.

– Availability, pricing, and descriptions are subject to change without notice. We reserve the right to correct errors or omissions and to cancel orders arising from such errors.

– Photos are illustrative and may differ slightly from the actual product due to packaging changes, sourcing variations, or seasonal conditions.

4. Orders, Pricing, and Payment

– By placing an order, you make an offer to purchase under these Terms. We may accept or decline your order at our discretion, including due to stock availability, suspected fraud, or compliance reasons.

– Prices are displayed in Nigerian Naira (NGN) unless otherwise stated and may exclude taxes, fees, delivery, or handling charges, which will be shown at checkout.

– You are responsible for any bank charges, mobile money fees, exchange fees, or other charges related to your payment method.

– Return and refund eligibility depends on the product type, condition, and seller’s policy. Perishable goods (including eggs and certain poultry items) may be non-returnable unless damaged or not as described on delivery.

– We may require evidence such as photos, videos, or inspection. If a refund is approved, it will be issued to your original payment method within a reasonable time, less any applicable fees.

– Orders may be canceled prior to shipment or fulfillment where possible. Once shipped or fulfilled, cancellation may not be possible.

7. User Content and Conduct

– You may be able to post reviews, comments, messages, images, or other content. You are solely responsible for your content and represent that you have all rights necessary to post it.

– Entire Agreement: These Terms, together with any policies referenced herein (including the Privacy Policy and Seller/Buyer Policies), constitute the entire agreement between you and Go Happy Farms.

– Severability: If any provision is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

– No Waiver: Our failure to enforce any right or provision is not a waiver of such right or provision.

– Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

21 MARKETPLACE: BUYER AND SELLER RESPONSIBILITIES

– Sellers are responsible for listing accurate descriptions, prices, quantities, quality, and compliance with Nigerian laws and standards (including NAFDAC, SON, agricultural, animal welfare, and health/safety regulations as applicable).

– Buyers are responsible for reviewing listings, verifying suitability, and complying with any handling or import/export restrictions where relevant.

– Prohibited or restricted items include illegal products, counterfeit goods, unsafe food items, hazardous substances, and any goods prohibited by law or our policies.
